1. Eligibility: These are the official rules (“Official Rules”) for the Torrid Festival Sweepstakes (“Sweepstakes”). The Sweepstakes is open and offered only to legal residents of the fifty (50) United States of America, the District of Columbia, Puerto Rico, and Canada (except the Province of Quebec) (collectively, the “Eligibility Area”), who as of the date of their entry into the Promotion are eighteen (18) years of age or the legal age of majority in the applicable jurisdiction (19+ in Alabama/Nebraska; 21+ in Mississippi) or older as of 4/7/2026. Employees, directors, officers, agents, shareholders, and independent contractors of Torrid LLC ("Sponsor") and its respective parent companies, licensors, trustees, franchises, licensees, subsidiaries, divisions, affiliates (collectively, “Sweepstakes Entities”) and immediate family members (spouse, parents, siblings, and children, and each of their spouses) and persons living in the same household of each of the above, regardless of residence and whether or not related, are ineligible to enter or win the Sweepstakes. All decisions of Sponsor are final. The Sweepstakes is subject to all applicable federal, state, provincial, and local laws and regulations and is void where prohibited. Winning a prize is contingent upon fulfilling all requirements as set forth herein.

ADDITIONAL ELIGIBILITY REQUIREMENTS: Prior to being eligible to receive any prize, an entrant who has been selected as a potential winner of the Sweepstakes must provide Sponsor with any information or certifications needed by Sponsor, in its judgment. Without limiting the foregoing, a person who has been selected as a potential winner may be required to (1) sign a copy of these Official Rules; (2) complete and sign a Declaration of Compliance, Liability and Publicity Release (except where prohibited); and (3) sign or provide any other document any venues or the Sponsor determines is required, necessary, or appropriate, in its sole judgment, to confirm the winner’s eligibility and for any applicable tax reporting purposes. Any potential winner from Canada will also be required to correctly answer a mathematical skill-testing question without assistance to win.

2. SPONSOR: Torrid LLC, 18501 E. San Jose Avenue, City of Industry, CA 91748. Sponsor is solely responsible for the fulfillment of all prizes.

3. TIMING: The Sweepstakes begins at 12:00 AM (Pacific Time) on 4/7/2026 and ends at 11:59 PM (Pacific Time) on 4/12/2026 (“Sweepstakes Period”) and will be conducted and administered at the sole discretion of Sponsor. The Sponsor’s clock will be the official timekeeper for the Sweepstakes.

4. HOW TO ENTER: During the Sweepstakes Period, eligible entrants may enter by visiting www.torrid.com/featured/stagecoach-festival-sweepstakes/legal/ and completing the online entry form, including providing a valid email address. Limit one (1) entry per person/email address per sweepstakes period. Additional entries beyond the stated limit may be disqualified. Entrants email will be used for any Sweepstakes related correspondence and may be used for promotional emails from Sponsor. Entrant may unsubscribe at any time.

LIMIT ONE ENTRY PER PERSON. Each person may enter the Sweepstakes only one time. Although subsequent attempts to enter may be received, only the first entry received from a particular individual will count; subsequent attempts to enter will be disqualified. The submission of an entry is solely the responsibility of the entrant. Entries may only be made according to the methods described above. Only eligible entries actually received by Sponsor before the end of the Sweepstakes Period will be included in the prize drawing. Incomplete or garbled entries will be disqualified.

By entering the Sweepstakes, entrant agrees that Sponsor may (i) repost the entry on Sponsor’s social media pages, (ii) and/or name or tag entrant on Sponsor’s social media pages. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. Multiple entrants are not permitted to share the same email address. In the event of a dispute as to the identity of any entrant, the authorized account holder of the email address registered to email account platform used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to Sponsor or forfeit the prize. Entries specifying an invalid, non-working, or inactive email address direct will be disqualified.

Entries, comments, and any content submitted or uploaded to any social media site or other public sites in connection with this Sweepstakes (collectively, “Content Submissions”) may not contain, depict or show any content that: (i) is sexually explicit or suggestive, offensive, lewd, profane, obscene; (ii) promotes any activities that may appear unsafe or dangerous, or any political agenda or message; (iii) defames, misrepresents or contains disparaging remarks about Sponsors or other companies; (iv) contains any personal identification, such as license plate numbers, last names (first names are permitted), e-mail addresses or street addresses for any person other than entrant, or otherwise infringes on the privacy of any person other than an entrant; (v) communicates messages or images inconsistent with the positive image and good will of Sponsor’s brands; and/or (vii) violates any law. Any Content Submissions that contain such content will be disqualified. Sponsors reserve the right in their sole and unfettered discretion to disqualify any Content Submission that they believe is inappropriate, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Sweepstakes.

5. CONDUCT: By entering the Sweepstakes, entrants agree to comply with and be bound by these Official Rules, which will be posted www.torrid.com/featured/stagecoach-festival-sweepstakes/legal/ throughout the Sweepstakes. The Sponsor reserves the right in its sole discretion to disqualify any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes or the Torrid website or Torrid app or any of Torrid’s social media accounts; (b) violating the Official Rules; or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

5. SWEEPSTAKES PRIZES: One (1) winner will be randomly selected from the eligible entries received by Sponsor during the Sweepstakes Period. One prize will be awarded to the winner. The prize will be a trip that must be taken during April 23-27, 2026 and will consist of the following:

• The winner plus a guest of their choosing to attend the 2026 Stagecoach Music Festival from April 24-26, 2026 (includes 2 Rhinestone Saloon Passes);
• Round-trip domestic economy airfare from a Sponsor-specified airport in reasonable proximity to Winner’s residence (non-stop flights are not guaranteed);
• Winner’s residence (non-stop flights are not guaranteed);
• $150 rideshare voucher for transportation from arrival and departure points including to and from hotel;
• Four (4) nights hotel accommodation from April 23-27, 2026;
• One brunch; and
• A $500.00 USD or CAD Torrid E-Gift Card depending on the winner’s jurisdiction. The gift card is intended to be used for Torrid apparel to be worn during the trip. The winner will be required to wear Torrid apparel during all scheduled activities (excluding accessories).

7. PRIZE RESTRICTIONS: The following applies to all prizes: Prizes cannot be used in conjunction with any other promotion or offer. Prizes may not be transferred or assigned except by the Sponsor. Only listed prizes will be awarded and no returns, substitutions, cash equivalents or redemptions will be made, except that Sponsor reserves the right, in its sole discretion and without notice, to substitute any prize package with another prize of equal or greater value in the event that the advertised prize (or any component thereof) is not available. ALL FEES AND EXPENSES NOT SPECIFICALLY STATED ABOVE, TOGETHER WITH THE REPORTING AND PAYMENT OF ALL APPLICABLE TAXES, FEES, AND/OR SURCHARGES, IF ANY, ARISING OUT OF, OR RESULTING FROM, ACCEPTANCE OR USE OF A PRIZE, ARE THE SOLE RESPONSIBILITY OF THE WINNER OF THAT PRIZE.

Winner must be available to travel on dates and at times specified by Sponsor or risk forfeiting prize. Sponsor will, in its sole discretion, determine which airport is closest to the Winner’s home. If Winner resides within 200 miles of Palm Springs, Sponsor reserves the right to substitute ground transportation in lieu of air transportation, and no compensation or substitution will be provided for the difference in prize value. Travel subject to availability. Travel arrangements must be made through Sponsor’s agent and on an airline carrier of Sponsor’s choice. Certain travel restrictions may apply.

Winner shall be responsible for obtaining all necessary travel documents (including RealID or equivalent) and travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. No refund or compensation will be made in the event of the cancellation or delay of any flight or event, except at the sole discretion of Sponsor. Travel is subject to the terms and conditions set forth in these Official Rules, and those set forth by Sponsor’s airline (or ground) carrier of choice as detailed in the passenger ticket contract. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the winner’s transportation, and such contracts shall be solely between the winner and such transportation companies. Lost, stolen or damaged airline tickets will not be replaced or exchanged. No unscheduled stopovers are permitted on tickets issued as part of the prize. If an unscheduled stopover occurs, the prize travel will terminate, and winner will be responsible for the full fare, which will be charged from the stopover point for the remaining trip segment(s), including the return. Sponsor shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services or accommodations necessitated by same. Airline tickets issued in connection with the prize may not be eligible for frequent flyer miles or upgrades. Winner must comply with all hotel check-in requirements, including, but not limited to, the presentation of a payment card, which will be used to pay for any meals, phone calls, or incidentals not included in the prize. Air transportation and hotel accommodations must be taken together and cannot be taken separately.

Winner agrees to comply with all rules and regulations in place at any venue in which activities occur and all terms and conditions as stated in connection therewith. Failure to do so may result in forfeiture of such portion of the prize. Winner further agrees not to act in an unsportsmanlike or disruptive manner during the prize trip or any prize-related activity.

In the event winner engages in behavior during prize travel or any prize-related activity that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the travel or activity early, and send winner home with no further obligations or compensation whatsoever (which may, in Sponsor’s sole discretion, result in such winner’s disqualification from the Sweepstakes and forfeiture of any (and/or all) prize(s). In the event winner engages in behavior during prize travel or any prize-related activity that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects winner to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments, or other costs or expenses of any kind whatsoever incurred by winner as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY SWEEPSTAKES-RELATED TRAVEL OR ACTIVITY, OR ANY TRAVEL OR ACTIVITY RELATED TO THE PRIZE OR ANY OTHER ASPECT OF WINNER’S ACCEPTANCE AND/OR USE OF THE PRIZE.

The actual value of any Prize awarded may be taxable as income. The United States Internal Revenue Service (IRS) requires Form 1099-MISC to be issued and filed for each winner who receives a prize if the amount of the prize is $2,000 or more. If required, a 1099 will be issued by Sponsor to winner for the fair market value of the prize received during the applicable calendar year. Any winner who fails to provide information sufficient to complete Form 1099-MISC (including, without limitation, social security number or tax identification number) shall forfeit any and all rights to the applicable prize.

Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prizes awarded. Sponsor makes no representations or warranties concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations apply. Sponsor will not replace any lost or stolen prize items.

8. ODDS OF WINNING: Odds of winning a prize depend on the number of eligible entries received by Sponsor during the Sweepstakes Period.

9. APPROXIMATE RETAIL VALUE: The Approximate Retail Value (“ARV”) of all prizes is $4,950 USD.

10. WINNER SELECTION AND NOTIFICATION: One (1) potential winner will be selected in a random drawing within the Sweepstakes Period. Sponsor will notify the potential winner via email with further details no later than 4/13/2026. Winner will be required to respond with 24 hours of receiving the email.

Each potential winner will be instructed by Sponsor on next steps needed to verify the eligibility of the potential winner after he/she is confirmed eligible. If (i) Sponsor determines that a person who was selected as a potential winner is not eligible to participate in the Sweepstakes, or (ii) a person whose name is drawn refuses to accept the selection as a winner, or (iii) a person whose name is drawn cannot or does not complete the eligibility requirements described in "Additional Eligibility Requirements" above, including without limitation a failure to sign and return the Declaration of Compliance, Liability and Publicity Release (when applicable) or provide any other requested information within the required time period, or (iv) a person cannot be contacted, then that person will be ineligible to win a prize. In the event that a potential winner is disqualified or ineligible for any reason, the potential winner(s) forfeits the prize and Sponsor will award the prize to an alternate winner by random drawing from among all remaining eligible entries. Only two (2) alternate drawings will be held, after which the prize will remain un-awarded. Once a potential winner’s eligibility has been verified, he or she will be confirmed as a winner.

POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. Once each potential winner’s eligibility has been verified, he or she will be confirmed as a winner.

11. GENERAL CONDITIONS; RELEASES: This Sweepstakes is governed by the laws of the United States and Canada. All federal, state, provincial, territorial, and local laws and regulations apply. Void where prohibited.

By entering the Sweepstakes, entrants agree to release and hold harmless Sponsor, Instagram, the Sweepstakes Entities and each of their respective parents, subsidiaries, affiliates, directors, officers, employees, and agents (collectively, the “Released Parties”) from any and all liability for any injuries, loss or damage of any kind to persons, including death, or property damage resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, entry, participation in this Sweepstakes, or while traveling to, preparing for or participating in any prize-related activity, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. By participating in this Sweepstakes, entrant agrees that the Released Parties will not be responsible or liable for any injuries, damages, or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages to persons, or to property arising out of access to and use of the website. The Released Parties are not responsible if any prize cannot be awarded due to cancellations, delays, or interruptions due to acts of god, acts of war, natural disasters, weather, or terrorism.

Subject to applicable law, participation in the Sweepstakes constitutes entrants grant to Sponsor the right to use and publish their proper name, state, submitted materials (including, but not limited to, photographs provided as part of the Sweepstakes) and/or other personal information provided as part of the Sweepstakes online and in print, or any other media, in connection with the Sweepstakes. Except where prohibited by law, a winner's acceptance of a prize constitutes permission for Sponsor to use such winner's name, address (city and state only), statements, photograph, voice and/or likeness for any advertising and promotional purposes relating to the Sweepstakes without further notice, compensation, consideration, review, or consent.

12. DISCLAIMER: Sponsor is not responsible for incorrect or inaccurate transcription/capture/recordation of entries or entry information, or for any human or other error, technical malfunctions, lost/delayed data or failures of any computer equipment, software, inability to access any online service or Website, or any other error or malfunction, or any injury or damage to participant’s or any other person’s computer related to or resulting from participation in this Sweepstakes. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR APP OR SOCIAL MEDIA ACCOUNT, TAMPER WITH THE ENTRY PROCESS, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO COOPERATE IN THE PROSECUTION OF ANY SUCH INDIVIDUAL(S) AND TO PURSUE ALL REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor’s failure to enforce any term of these Official Rules in a given instance shall not constitute a waiver of that provision. If for any reason the Sweepstakes is not capable of being executed as planned, or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, action of Entrants, technical failures or any other causes which in the opinion of Administrator, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to disqualify any suspect entry (and/or the entrant responsible for same) and to cancel, terminate, modify or suspend the Sweepstakes (contingent upon Sponsor securing any governmental approval that may be required). In such event, Sponsor will select the winner from among all eligible entries received prior to and/or after the action taken by Sponsor or otherwise in a manner determined by Sponsor to be fair, appropriate, and consistent with these Official Rules. Notice of such action will be posted on the website.

13. LIMITATIONS OF LIABILITY: Sponsor assumes no responsibility for lost, late, misdirected, illegible, or mutilated entries, or for theft, destruction, or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any incorrect or inaccurate information, whether caused by website users, any of the equipment or programming associated with or utilized in the Sweepstakes, or any technical or human error which may occur in the processing of submissions in the Sweepstakes. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players, or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing. Sponsor is not responsible for any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. To the fullest extent permitted by law, by participating in the Sweepstakes, all entrants release and agree to hold harmless Sponsor, their respective affiliates, subsidiaries and agencies, as well as the directors, officers, agents, shareholders, representatives, employees, successors and assigns of any of the above organizations, from any and all liability for any claims, costs, injuries, losses or damages of any kind caused by their participation, including the unauthorized or illegal access to personally identifiable or sensitive information or the acceptance, possession, use, or misuse of the prize. Except where prohibited by law, acceptance of prize constitutes permission for Sponsor and its designees to use winner’s name, hometown, likeness, statements and other personally identifiable information for Sweepstakes, advertising, and marketing purposes in any media throughout the world without additional prize, incentive, consideration, consent or review.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION, INCLUDING ALL PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. 14. PRIVACY: By entering the Sweepstakes, you agree to allow your personal information to be used in connection with the Sweepstakes. 15. DISPUTES/CHOICE OF LAW: To the fullest extent permitted by law, by participating in the Sweepstakes, you agree that: (a) any action at law or in equity arising out of or relating to these Official Rules or the rights and obligations of any entrant and/or Sponsor shall be filed in state court in Los Angeles County, State of California USA, and you hereby consent and submit to the personal and exclusive jurisdiction of such courts for the purposes of litigating any such action (and waive any right to change of venue, forum non conveniens, or any like right), (b) any and all disputes, claims, and causes of action arising out of or connected with these Official Rules, and/or the rights and obligations of any entrant and/or Sponsor, shall be resolved individually, without resort to any form of class action, and (d) under no circumstances will any entrant be permitted to obtain awards for and hereby waives all rights to claim punitive, exemplary, special, incidental, indirect and consequential damages, attorneys’ fees and costs, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant and/or Sponsor, shall be governed by and construed in accordance with the laws of the State of California USA without giving effect or regard to any principles or doctrines of conflicts of law/choice of law of the State of California USA or of any other jurisdiction.
